Welcome to GlobecSys. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, software, and related offerings (“Services”).

Our services and collaborations are bound by a mutual understanding of the following terms which you agreed upon unless stated otherwise:

1. Services Provided

GlobecSys provides consulting, custom software development, integration, and migration services for eCommerce platforms, primarily focused on BigCommerce and related third-party systems (e.g., ERP, CRM, CMS). We also contribute and maintain open-source software libraries, primarily in the D programming language.

Services may include but are not limited to:

    • BigCommerce store setup, customization, and headless development

    • System integrations (ERP, CRM, logistics, payments)

    • Platform migrations and data transformation

    • Open-source library usage, customization, or extension

    • Ongoing technical support and retainer services

2. Use of Services

You may use our Services only if you:

    • Are at least 18 years old and have legal authority to enter into a contract

    • Will not use the Services for unlawful, harmful, or fraudulent purposes

    • Will provide accurate and complete information for any project engagement

GlobecSys reserves the right to refuse service or terminate engagements at its discretion if these terms are violated.

3. Intellectual Property

All proprietary software, designs, documentation, and solutions developed by GlobecSys remain the intellectual property of GlobecSys unless explicitly transferred via written agreement.

Open-source software developed by GlobecSys is governed by the respective licenses listed in the GitHub repositories (e.g., MIT, BSL). Usage of these libraries must comply with their license terms.

Client-specific deliverables, when contractually agreed upon, may be transferred or licensed as outlined in a Statement of Work (SOW) or Master Services Agreement (MSA).

4. Payment and Billing

Pricing for services is available through scoped project proposals or tiered subscription plans. All fees are billed either:

    • On a milestone or time-and-materials basis (for projects), or

    • Monthly/quarterly as a retainer (for ongoing service plans)

Invoices are due within 15 days of issuance unless otherwise agreed. Late payments may incur interest at 1.5% per month and may result in service suspension.

5. Confidentiality

Both parties agree to protect confidential information exchanged during any engagement. Confidential information may include project details, proprietary technology, client data, and internal communications.

This clause survives termination of the engagement for a period of three (3) years.

6. Third-Party Services and Integrations

GlobecSys integrates with third-party platforms (e.g., NetSuite, HubSpot, Stripe, ShipStation). We do not control or guarantee the performance, uptime, or data security of these external services. Your use of these services is subject to their individual terms and conditions.

GlobecSys is not liable for failures or data loss resulting from third-party platform outages or changes in APIs.

7. Warranties and Limitations

GlobecSys makes no warranties or guarantees, express or implied, regarding the performance or results of any development, integration, or consulting service. All services are provided “as-is,” and to the maximum extent permitted by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for indirect, incidental, or consequential damages, including data loss, revenue impact, or business interruption.

8. Termination

Either party may terminate the engagement with written notice if the other party breaches a material obligation and fails to cure it within 14 days. Upon termination, outstanding fees remain payable for work completed up to that point.

GlobecSys may retain project assets until final payment is received.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes will be resolved in the courts located in Québec City, Qc, Canada.

10. Changes to These Terms

GlobecSys may revise these Terms at any time by updating this page. Continued use of our Services after changes are made constitutes acceptance of the updated Terms.
